Terms of Service
Last updated: 2026-10-14
Draft 2026-10-14, not yet reviewed by counsel. This page is a working draft and may change before any sale.
These terms are between you and Deadroom Ventures LLC, a Nevada limited liability company ("we"), which operates FlowCraft Labs. They apply to this site, the free eval kit and any pilot or other service we agree with you in writing. For business customers in the United States only. Contact: hello@deadroomventures.com.
0. Who may use this
You confirm you are using FlowCraft Labs for a business purpose and that your billing address is in the United States.
1. What we offer
1.1 The eval kit. A free, downloadable tool that runs on your machine and produces a written report about an extractor you test with it ("Kit"). A report states what the checks found at the time they ran.
1.2 Pilots and other services. Work described in a written scope that you accept before paying ("Services"). Nothing is sold through this site. There is no checkout.
2. What a report is and is not
2.1 A report is an operational review. It is not legal, medical, tax, accounting, security or compliance advice, and it is not a certification, audit opinion or guarantee of any result.
2.2 We do not promise that the Kit or a pilot will work on your documents, catch every mistake, or make any process compliant with any law or standard. Scores on the Kit’s synthetic invoices describe those invoices only.
2.3 Using our tools does not create a lawyer-client, doctor-patient, accountant-client or other professional relationship. Our tools do not give legal, medical or tax answers. Checks run at one moment and on the inputs you give. Findings may be incomplete or wrong. You are responsible for deciding what to do.
2.4 The free kit and its reports are produced by software checks. They contain no AI-written text. A pilot may use a local language model on the customer's own hardware, as agreed in the written scope; nothing is sent to a cloud model provider unless the written scope says so and the customer agrees.
3. Your inputs and your data
3.1 You confirm you have the right to give us anything you submit.
3.2 Do not send protected health information, legal client files, payment card numbers, government ID numbers, passwords, secrets or private keys. We do not sign business associate agreements and are not set up to receive regulated data. Pilots use synthetic or de-identified data only. Any use of regulated data needs a separate written agreement signed after counsel review.
3.3 The Kit runs on your machine and makes no network requests of its own. Its optional model extractor sends text to the address you configure; that is your choice and your data. Pilot work runs on your hardware, with local models unless the written scope says otherwise. We process anything you send us only to deliver your service.
3.4 We delete files you send us within 30 days of delivery. We keep the written scope, the invoice and a copy of the report for 12 months, then delete them, or earlier on request unless the law requires us to keep them. Ask at hello@deadroomventures.com.
3.5 We never execute macros or code inside your files.
3.6 We do not sell your data. The privacy policy lists the services we use. We use reasonable technical and organisational measures; no system is perfectly secure. We will tell affected customers of a confirmed breach without undue delay.
4. Payment and refunds
4.1 The Kit is free. Services are priced in the written scope and paid in full before work starts. There are no subscriptions.
4.2 Refunds. Unstarted work is refunded in full. For work in progress, we refund the unearned part. See the refund page. Refunds go to the original payment method.
4.3 Taxes are added where required.
5. Services
5.1 A written scope states the deliverables, the inputs we need from you, what is out of scope, the success measure, the price and the timeline. Work starts when you accept the scope and pay.
5.2 We may stop and refund the unearned part if your inputs are unusable or a request is outside the scope. Changes to scope are agreed in writing.
5.3 Delivery is complete when we send the report or notes. You have 5 business days to tell us about a material defect against the scope. We will correct it or refund the affected part. That is your only remedy for a defect in a deliverable.
5.4 We do not make any statement in a deliverable as a lawyer, doctor, accountant or other licensed professional.
6. Ownership and licence
6.1 You own the report we deliver to you and may share it inside your business and with your advisers.
6.2 We own the Kit, the checks, templates and methods. The Kit is licensed to you free of charge under the license. Verification rules and notes delivered in a pilot are licensed for your internal business use and are not transferable.
7. Warranty disclaimer and liability
7.1 EVERYTHING IS PROVIDED "AS IS". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PURPOSE AND NON-INFRINGEMENT.
7.2 TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION OR INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES.
7.3 Nothing in these terms limits liability for fraud, willful misconduct or gross negligence, or any liability that cannot lawfully be limited. Otherwise our total liability for all claims about a product or service is limited to the fees you paid for it in the 12 months before the first claim.
7.4 You are responsible for claims that your submission infringes or breaches someone else’s rights.
8. Acceptable use
You will not use our tools or services to break the law, or to process data you have no right to use. We may refuse or end service for misuse.
9. Confidentiality
We treat what you send as confidential and use it only as stated above. This does not cover information that is public or that we receive from others lawfully.
10. Changes, termination, disputes
10.1 We may update these terms. The version in force when you agree a service applies to that service.
10.2 Either side may end a pilot as the written scope says. We may end service for breach.
10.3 Nevada law governs. Disputes go first to a good-faith attempt to resolve by email for 30 days. Nothing in these terms limits what you may say in a review or comment about us.
